Service-Intel SAS | Master Subscription & Use Agreement

IMPORTANT – READ CAREFULLY

By completing the Electronic Acceptance Process, logging into the Service-Intel platform, or integrating your Shop Management System, you represent and warrant that you: (i) are 18 years of age or older; (ii) are authorized to bind the contracting party (“customer”); and (iii) agree to be bound by these terms.

1. Purpose and Scope

Service-Intel SAS provides a proprietary cloud-based analytics and predictive maintenance platform designed specifically for the automotive service industry (the “Services”). This Agreement governs the Customer’s access to the software, algorithms, and data insights provided by Service-Intel.

2. License Grant

Subject to compliance with this Agreement, Service-Intel grants Customer a non-exclusive, non-transferable, revocable license to access and use the platform solely for internal business operations at the Customer’s authorized automotive service locations.

3. Intellectual Property (IP) Protection

Ownership: Service-Intel SAS (and its licensors) retains all right, title, and interest in and to the platform, including its source code, object code, underlying algorithms, predictive models, user interface designs, and “Service-Intel” trademarks.

Restrictions: Customer shall not, and shall not permit any third party to:

Reverse engineer, decompile, or disassemble the platform to discover underlying structures or algorithms.

Modify, translate, or create derivative works based on the platform.

Access the Services to build a competitive product or service.

Feedback: Any suggestions or improvements provided by the Customer (“Feedback”) become the exclusive property of Service-Intel SAS without compensation to the Customer.

4. Data Rights and Disclosure

As an automotive service platform, Service-Intel processes various categories of data. We maintain a clear distinction between what you own and what we generate:

Customer Data (Your Property): Customer retains all ownership of raw data submitted to the platform, including Customer Identifiable Information (PII) and specific Repair Order (RO) details.

Aggregated Data (Service-Intel Property): Customer grants Service-Intel a perpetual, royalty-free license to aggregate and anonymize Customer Data. This data is stripped of all PII and vehicle identifiers (VINs) and used for industry benchmarking, predictive modeling, and system improvements. This anonymized, aggregated dataset is the exclusive property of Service-Intel SAS.

DMS/SMS Integration: Customer authorizes Service-Intel to access their Dealer Management System (DMS) or Shop Management System (SMS) to extract data necessary for the performance of the Services.

5. Acceptable Use

Authorized Users: Access is limited to employees or contractors of the Customer for legitimate business use. Sharing login credentials between individuals is strictly prohibited.

Security: Customer is responsible for all activity occurring under their account and must notify Service-Intel immediately of any unauthorized access.

Prohibitions: Using the platform for unlawful purposes, scraping data via automated scripts, or attempting to breach Service-Intel infrastructure will result in immediate termination.

6. Fees and Payment

Customer agrees to pay all subscription fees as outlined in the applicable Order Form or electronic checkout process. Fees are non-refundable. Service-Intel reserves the right to suspend services for accounts with past-due balances.

7. Term and Termination

This Agreement remains in effect for the duration of the subscription term. Either party may terminate if the other party materially breaches these terms. Upon termination, Customer’s right to access the platform ceases immediately.

8. Warranties and Disclaimers

“As-Is” Service: THE SERVICES ARE PROVIDED “AS IS.” SERVICE-INTEL DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Accuracy: While Service-Intel uses advanced analytics, we do not guarantee the specific accuracy of predictive maintenance alerts or industry benchmarks, which are based on historical and statistical data.

9. Limitation of Liability

To the maximum extent permitted by law, Service-Intel SAS shall not be liable for any indirect, incidental, or consequential damages (including loss of profits or data) arising out of the use of the platform. In no event shall total liability exceed the fees paid by the customer in the twelve (12) months preceding the claim.

10. General Provisions

Modifications: Service-Intel may update these terms from time to time. Continued use of the platform after notification of changes constitutes acceptance.

Governing Law: This Agreement shall be governed by the laws of the jurisdiction where Service-Intel SAS is headquartered.

Entire Agreement: This document constitutes the entire agreement between the parties, superseding all prior discussions or “eAutoClub” legacy agreements.
